Corporate Name Endings
- The name shall
not contain any word, phrase, abbreviation, or derivative thereof indicating
or implying it is organized for any purpose other than one or more purposes
permitted by its certificate of incorporation. The name shall be distinguishable
from the names of other for-profit and nonprofit domestic corporations,
foreign corporations, domestic and foreign limited partnerships, and
current name reservations or registrations. The name shall not contain
any word, phrase, abbreviation, or derivative thereof which use is prohibited
or restricted by any other statute of New Jersey. The name shall contain
the word "Corporation," "Company," "Incorporated," an abbreviation thereof,
or the abbreviation "Ltd."
Corporation Requirements
- Director Information
- Minimum Number - One or more.
- Residence Requirements - No provision.
- Age Requirements
- Directors must be a natural person at least 18 years of age.
- Directors are
not required to be listed in the articles of incorporation.
- Officer Information
- Officers are
not required to be listed in the articles of incorporation.
- Stock Information
- An increase
in shares or par value does not affect initial filing fees.
Taxes and Fees
- Annual Statements
- Every corporation
must file an annual report within 3½ months after the end of the
corporation's fiscal year. The filing fee is $40.
- Income Tax Rate
- The corporation
business tax is 9% of taxable income. The tax rate is 7.5% if your
entire net income is $100,000 or less. The minimum tax is $200.
- S Corporation
- · S Corporation
status is recognized by the State of New Jersey. A separate state
election from the federal election is required.

- License Requirements
- New Jersey
requires that you obtain a license and pay a fee if operating certain
types of businesses in the state. The following is a partial list:

- Beauticians and hairstylists

- Child care centers
- Chiropractors
- Electrical contractors
- Employers
- Insurance agents, brokers, and solicitors
