Oregon
Corporate Name Endings
- The name must
contain the word "Corporation," "Company," "Incorporated," "Limited,"
or an abbreviation thereof. The name shall not contain the word "Cooperative."
It must be distinguishable from the name of any corporation, reserved
name, registered name, professional corporate name, nonprofit corporate
name, cooperative name, limited partnership name, business trust name,
or assumed business name. The name shall be in the English alphabet.
Corporation Requirements
- Director Information
- Minimum Number - One or more.
- Residence Requirements - No provision.
- Age Requirements
- Directors must be a natural person at least 18 years of age.
- Directors are
not required to be listed in the articles of incorporation.
- Officer Information
- Officers are
not required to be listed in the articles of incorporation.
- Stock Information
- An increase
in shares or par value does not affect initial filing fees.
- Corporate Records
- The articles
of incorporation, bylaws, all amendments currently in effect, shareholders'
meeting minutes, names and addresses of directors and officers,
and the corporation's most recent annual report must be kept at
the principal office of the corporation.
Taxes and Fees
- Annual Statements
- Every domestic
and foreign corporation authorized to transact business in Oregon
must file an annual report with the Secretary of State and pay an
annual license fee by the anniversary of the date on which the corporation's
certificate of incorporation or certificate of authority to do business
was issued. Domestic and foreign corporations pay a fee of $20.
- Excise Tax Rate
- The excise
tax rate is 6.6% of Oregon taxable income. The minimum tax is $10.
- S Corporation
- S Corporation
status is recognized by the State of Oregon. A separate state election
from the federal election is not required.
- License Requirements
- Oregon requires
most businesses to obtain a license and pay a fee if operating in
the state. Please check with the state to make insure your business
is complying with the license requirements for your particular profession.
