Wyoming
Corporate Name Endings
- The name of the
corporation may not contain language implying a different purpose from
the purpose or purposes in the articles of incorporation. The name shall
not be the same as or similar to the name of any domestic or foreign
profit or nonprofit corporation, trade name, trademark or service mark
registered in this state, limited liability company, statutory trust
company or limited partnership or other business entity.
Corporation Requirements

- Directors are
required to be listed in the articles of incorporation.
- Officer Information
- Officers are
not required to be listed in the articles of incorporation.
- Stock Information
- An increase
in shares or par value does not affect the initial filing fees.
- Corporate Records
- The articles
of incorporation, bylaws, board resolutions creating classes or
series of shares, minutes of all shareholders' meetings, records
of all actions taken by shareholders without meeting for the past
three years, all written communications to shareholders within the
past three years, a list of names and business addresses of current
directors and officers, and the most recent annual report must be
kept at the principal office of the corporation.
Taxes and Fees
- Annual Statements
- Annual statements
are due by December 1st. The tax is based on the corporate property
and assets located and employed in Wyoming. The license tax is $50
or two-tenths of one million on the dollar ($.0002) of corporate
assets, whichever is greater.
- Income Tax Rate
- The state of Wyoming has no corporate income tax.
- S Corporation
- The state of
Wyoming has no corporate income tax so S Corporation elections have
no impact.
- License Requirements
- Wyoming requires
most businesses to obtain a license and pay a fee if operating in
the state. Please check with the state to make sure your business
